Anton Pillar Proceedings

Acting for a listed entity within the beverages, food and fashion industries in multiple and very complex litigation involving the unlawful use of confidential information by a major competitor in the country. The listed company owns many popular South African brands in various categories and has a turnover of over R8 billion. This firm has also acted in many other similar proceedings.

Arbitration

An American corporation which does business throughout the world with major administrative office in Los Angeles and Jordan; we have represented this client in commercial and financial negotiations as well as arbitration at the Paris based ICC.

Architects / Engineers

  • A South African based firm of architects, which has established international footprints in Nigeria, DRC and Mozambique. This firm represents this client in litigation involving procurement and commercial matters.
  • A leading multi-disciplinary engineering consultant firm based in South Africa with 67% black-ownership. The firm has a strong African orientation with a wide geographical footprint on the continent. The markets which this client operates in are transportation, freight and logistics, power and energy, water, sanitation, housing and community infrastructure, property developments in retail, hospitality, commercial and residential. Our client's core services are the design, planning and management.

Banking

  • After Africa Bank Investments Limited was placed under curatorship an American Hedge Fund retained us to represent its interests in regard to the fallout flowing therefrom.
  • Successfully representing an international banking group with its head office in London in delicate negotiations with the Registrar of Banks and the South African Reserve Bank.

Defence and Armaments

SA and USA clients in the Defence and Armaments Industry which conduct business not only in South Africa but throughout the world. We have represented major players in this particular area including a State Owned Corporation (SOC), which is one of the largest of its kind in the world.

Due Diligences

  • Large entities – both locally and offshore (the offshore entities in relation to their South African interest) involving teams of attorneys, auditors and other specialist service providers.
  • We also undertook the contractual due diligence on behalf of South African Airways when the SA government originally disposed of a portion of its interests to Swiss Air.
  • An English shareholder in a South African mining entity to oversee and coordinate the due diligence to be undertaken in respect of a $500 million transaction. Five firms of attorneys were appointed by us (we as lead attorneys and project co-ordinators) as was Grant Thornton to give effect to our mandate. Aside from actually conducting a large portion of the due diligence ourselves, we project managed and compiled the overall report for the client.

Family Conglomerates

  • A family with diversified interests in mining, property, tourism, construction and infrastructure development across Africa, Europe and Asia employing cumulatively over 40 000 persons; (we have assisted this client to conclude contracts both within and outside the Republic of South Africa).
  • Litigation in Holland on behalf of a Romanian family which owned the largest and most experienced road freight and transportation fleet in Romania, Eastern Europe.

Food & Beverages

A group of companies which acquired and operated a number of branded food outlets (sit down restaurants and takeaways) and cinemas (that was the dominant operator in its particular space in South Africa and which eventually opened a number of outlets in other countries throughout the world). This involved, inter alia, negotiating the terms of the lease with the landlord, putting in place the franchise agreement as well as conducting due diligence on the proposed franchisee and assisting the country manager to ensure that all the housekeeping matters relating to the agreements between the client as well as the landlord and the franchisee were aligned. Depending on the site, there were occasions when there were a cluster of entertainment outlets which formed an entertainment hub as part of a shopping centre, such as the Fourways Mall and Sandton City. This firm oversaw the negotiations and suite of agreements necessary to achieve the client’s desired outcome.

Heads of State

  • The Kingdom of Swaziland and the Government of Swaziland in matters in South Africa and internationally.
  • A former African Head of State and his family following on unfounded accusations and charges being levelled against them in their home country (including corruption and abuse of power) and managed to procure (together with international colleagues of ours with whom we have a strategic alliance) the removal of an Interpol "red alert" and the throwing out of the charges.
  • the Presidential Candidate in a disputed election in an African country resulting in High Court proceedings and a partial recount of votes.

Information Technology

An Information and Communications Technology company which is one of the leading technology companies in Southern Africa and has 90% of the top 100 listed companies as its clients, and have done so for many years in contractual matters (involving advices on corporate structure, contents of agreements and other commercially driven matters) as well as, complicated dispute resolution and litigation matters involving contracts worth billions of Rands. Many of the contracts are with Government Departments and this firm has been the company's choice of legal representation.

We have represented clients (both large and small) in the drafting of leases over decades. We have acted for landlords and tenants in litigation and complex negotiations.

Litigation Support

Being retained as litigation support advisors by three international law firms (one in the USA, one in London and the other in The Hague) who actied on behalf of a group of companies involved in separate arbitrations running simultaneously involving approximately US$3 billion.

Liquidation and Insolvency Inquiries

Representing clients in numerous liquidations, sequestrations, insolvency inquiries and business rescue matters. One of the largest liquidations in the country was Retail Apparel Group ("RAG") when we acted on behalf of the Master of the High Court and reported directly to the Minister of Justice.

Marketing

A vibrant marketing solution organisation. This client has built an impressive team of professionals around the globe and is currently representing 16 countries through a network of hand-picked consultants. The firm represented this client in commercial litigation.

Media

A number of politicians, well known business men and women and influential people on a variety of Media disputes, some of which evolved beyond a mere complaint to the Newspaper and were tabled with the Press Ombudsman and the Appeal panel who then ruled upon the matter. This is an area of law in South Africa that is complex and problematic especially considering the freedom granted to the Media and for this reason we are immensely proud of the success that our firm has enjoyed in this regard.

Medical Aid Scheme Administrators

Medical Aid administrators, both in South Africa and the Republic of Namibia in regard to litigation as well as commercial matters.

PEPs (or Politically Exposed Persons)

  • A number of high net worth individuals who are entrepreneurial by nature and who in most instances own or control major corporations that are not public or listed entities, but whose turnover runs into hundreds of millions and in some instances billions of Rands.
  • Representing a number of high profile persons (PEPs) – both politically and within the business community in South Africa – in engaging with various organs of State including (1) the Public Protector (2) South African Revenue Services and (3) the National Prosecuting Authority involving sensitive, complex and confidential negotiations / interactions.

Political Parties

The African National Congress, a political party in South Africa which is the majority party in Parliament and consequently forms the Government of South Africa.


Property Brokers and Estate Agents

Representing dozens of property and business brokers over the years, as well as Estate Agencies. We have guided and advised some of the largest Estate Agencies in the country and have also delivered lectures to the staff of large Estate Agencies on various selected subjects.

The largest residential property developer in South Africa and have done so for decades.


Restraint (non-compete) undertakings

  • A listed entity in numerous litigation matters and more particularly restraint of trade applications in the industrial cable and electrical industry. The company is the leading black empowered electrical wholesaler in the country and is the leading distributor of power cable and electrical products. We have also advised the listed entity on matters of a contractual nature.
  • Assisting a listed entity by representing one of its subsidiaries with various restraints of trade High Court applications instituted against previous employees (who breached their employment contracts). Although enforcing a restraint of trade is more difficult and multifaceted than many envisage, our firm has been very successful in a number of high – and not so high – profile matters. These success stories are not just legal victories but provide client with some comfort that they will set a precedent with current and future employees and in turn protect the goodwill and reputation of the client.

SARS (South African Revenue Services)

  • Representing clients in negotiating tax settlements for both companies and individuals with SARS, in hostile environments, running into hundreds of millions of rands including VDP / amnesties (Voluntary Disclosure Programme).
  • Acting for SARS itself.

Shareholder Disputes

  • The minority shareholders in a mining investment company who disposed of its shares to a global mining enterprise resulting in massive litigation and arbitration over years in which we eventually succeeded in compelling the major shareholder to acquire our clients' interests at fair value given the breakdown in the relationship between the relevant shareholders. The resolution of the dispute involved putting in place a suite of complicated, inter-related agreements in respect of which this firm played the dominant role for the parties who were exiting the relationship.
  • A private mining company (majority black-owned and with women occupying leading positions within the company - the first of its kind in South Africa and one touted by the South African Government as an example of what can be done) in a dispute which resulted in a favourable judgment against a global player in the steel industry in the amount of R241 million – which was paid. This litigation also resulted in the need to advise on a commercial exit agreement involving a purchase consideration in excess of R3 billion.

South African Reserve Bank

Representing both South African companies (wishing to acquire assets/shares offshore) and offshore entities (wishing to operate in South Africa) and this firm has substantial experience in such matters.

Strategic Engagement

Many of our corporate and entrepreneurial clients who seek our guidance and advice prior to entering into commercial negotiations so as to position themselves correctly from the beginning of the negotiations to avoid backtracking and deviations from agreed positions. In other words they put the horse in front of the cart.

Telecommunication

  • An international telecom tower company (which has its offices in London but its presence is throughout Africa including Tanzania, Ghana and the Democratic Republic of Congo) and is described as “Africa's most focused independent operator of telecom towers”. This matter was full of complexities and challenges initiating with information received in London from whistle blowers and culminated in a hearing held in terms of Mauritian Law in South Africa.

The Securities Exchange Commission (USA)

A prominent South African based director of a US listed company in an investigation conducted jointly by the Security and Exchange Commission and Department of Justice (of the USA) in conjunction with the Financial Services Board (in SA) relating to the Foreign Corrupt Practices Act; we were successful in procuring a favourable outcome.
