We love the art of the deal and the creativeness of structuring a commercial transaction – often from green or brown fields.

Our expertise covers mergers, acquisitions, BEE transactions, mining transactions, joint-ventures, take-overs, disposals, competition matters, corporate governance, a variety of debt instruments, restructuring, due diligence, exchange control matters, risk analysis and corporate recoveries, guarantees, indemnities and the underpinning of performance orientated and driven documents. Where BKI does not have the in-house expertise, we outsource a particular service to an expert in the field. This is becoming more regular in general across all firms, with the increasingly specialist focus on various complex areas of commercial activity. BKI however takes responsibility for the outcome and oversees and project manages the various disciplines.

We apply a rigorous negotiating process, but we are deal-makers, not deal-breakers. We add value by drawing attention to options and alternatives. Our input has helped close deals worth billions, yet the same professionalism characterises our approach to much smaller transactions involving modest amounts. In any event, whatever the quantum of the transaction, the importance to the client overrides almost everything else. A transaction worth R1 billion to one client may be less significant in that client’s life than a transaction for R500k in another client’s life. We are mindful of these dynamics.
